Welcome to the e-furnizori platform. By accessing and using this platform, you agree to comply with the following terms and conditions. Please read this document carefully before using our services.
Within these Terms and Conditions, the following terms have the meanings set forth below:
2.1 Eligibility Requirements
The e-furnizori platform is intended exclusively for B2B (business-to-business) transactions. To register, you must represent a valid legal entity registered under Romanian or European law.
2.2 Registration Process
Upon registration, you will provide complete and accurate information about your company, including: official name, tax ID, registered office address, contact details, and banking information for payment processing.
2.3 Account Verification
e-furnizori reserves the right to verify the information provided and to request additional documents to confirm identity and eligibility. Supplier accounts will be activated after the verification process.
2.4 Account Security
You are responsible for maintaining the confidentiality of your authentication data. Any activity carried out through your account is considered to be performed by you. Notify us immediately in case of any unauthorized use.
2.5 Account Suspension and Closure
e-furnizori may suspend or close your account in case of violation of these Terms, fraudulent activities, or at your express request.

5.1 Commission Structure
e-furnizori charges a commission for each successfully completed transaction on the platform. The commission can be calculated as a percentage of the transaction value or as a fixed amount, depending on the product category and the Supplier's subscription plan.
5.2 Price Transparency
All applicable commissions are transparently displayed in the Supplier's control panel. Commission changes will be communicated at least 30 days before taking effect.
5.3 Payment Processing
Payments from Buyers are processed through our payment service provider (Stripe). Amounts due to Suppliers, after deducting commissions, are transferred according to the established payment cycle (usually weekly or monthly).
5.4 Invoicing
e-furnizori issues invoices for commissions charged. Suppliers are responsible for issuing invoices to Buyers for products and services sold.
5.5 Disputes
In case of payment disputes, e-furnizori may temporarily withhold the amounts in question until the situation is clarified. Our decisions in these cases are final and binding.
6.1 Delivery
Product delivery is the responsibility of the Supplier, who establishes the delivery methods, costs, and available delivery times. These must be clearly specified in each product listing.
6.2 Delivery Confirmation
The Buyer is obligated to confirm receipt of products on the platform. In the absence of a dispute within 48 hours of delivery, the order is considered completed.
6.3 Return Policy
Each Supplier establishes their own return policy, which must comply with current legislation. Return conditions must be clearly displayed in each product listing.
6.4 Defective or Non-Conforming Products
In case of defective products or products that do not match the description, the Buyer has the right to replacement, repair, or refund, in accordance with legal provisions and the Supplier's policy.
6.5 Warranty
Product warranty is provided by the Supplier in accordance with current legislation. Warranty terms and conditions are specified in each product's documentation.
7.1 Platform Rights
All intellectual property rights over the e-furnizori platform, including design, logo, software, and original content, belong to e-furnizori or its licensors.
7.2 Supplier Content
Suppliers retain intellectual property rights over the content they upload to the platform (images, descriptions, trademarks). By uploading content, they grant e-furnizori a non-exclusive license to use it for platform operation purposes.
7.3 Rights Violations
Users do not have the right to use platform content or content from other users without express authorization. Any violation of intellectual property rights will be sanctioned according to law.
8.1 Platform Role
e-furnizori acts exclusively as an intermediary between Suppliers and Buyers. We are not a party to the sales contracts concluded between users and we do not assume responsibility for the quality, safety, or legality of products and services offered by Suppliers.
8.2 Liability Exclusions
Within the limits permitted by law, e-furnizori is not liable for:

In any case, e-furnizori's maximum liability shall not exceed the commissions collected from the affected user in the last 12 months.

Continued use of the platform after the changes take effect constitutes acceptance of the new terms. If you do not agree with the changes, you may request account closure before the effective date.

10.2 Dispute Resolution
In case of a dispute, the parties will first attempt an amicable resolution. If an agreement is not reached within 30 days, the dispute will be resolved by the competent courts in Romania.

These Terms and Conditions are governed by Romanian law. Any dispute will be resolved by the competent courts in Bucharest, Romania.

By using the e-furnizori platform, you confirm that you have read, understood, and accepted these Terms and Conditions in their entirety.
